Terms of service

This is the agreement between you and the association that builds Caliban. It is deliberately short and written in ordinary sentences, because a contract nobody reads protects nobody.

01Who this agreement is with

Caliban is operated by North Star AGI VZW, a non-profit association registered in Belgium under enterprise number 1025.122.625 (BE 1025.122.625), with its registered office at Rodestraat 11, box 401, 2000 Antwerpen, Belgium. In what follows, “we” is that association and “you” is whoever creates an account or uses the service — the person if they signed up for themselves, and the organisation if somebody signed up on its behalf.

You accept these terms by creating an account or by using Caliban. If you are agreeing on behalf of an employer or a client, you are confirming that you are allowed to bind them. Where we have signed a separate written agreement with your organisation, that agreement wins wherever the two disagree.

02What Caliban is

Caliban gives a team a private workspace with an AI agent in it. The agent holds a conversation, reads and writes files on a workspace drive, searches the web, keeps a knowledge base, drafts actions inside accounts you connect, and can spin up helper agents to work in parallel. Alongside the product we run workshops, in which a facilitated session puts a room through the same thing on their own real work.

The product changes often. We add capabilities, retire ones that did not earn their keep, and change which underlying models the agent reasons with as better ones appear. We will not remove a capability you are paying for without telling you first, but you should not treat any single feature as frozen.

03Accounts and workspaces

You need an account to use Caliban, and you must be at least 16. Keep your sign-in credentials to yourself; anything done through your account is treated as done by you until you tell us otherwise. Tell us promptly if you think someone else has got in.

A workspace belongs to the organisation that created it, not to the individual who happened to click the button. Workspace administrators can add and remove members, set what each member may read and write, and see the workspace's content and activity. If you are using a workspace your employer owns, your employer controls it — which is worth knowing before you put something personal in it.

04What you may not do with it

Use Caliban for work you would be comfortable explaining. Specifically, do not use it to break the law, to infringe somebody's rights, or to produce or distribute material that is unlawful where you are. Do not use it to attack systems, to generate malware, to harass people, to run mass unsolicited messaging, or to build a profile of someone without a lawful basis for doing so.

On the technical side: do not try to break the isolation between workspaces, do not probe or circumvent the security of the service, do not resell access, and do not use the product to extract the underlying models or to build a competing model. Automated access is fine where we offer an interface for it and not otherwise.

You are also responsible for the data you bring. If you upload documents containing personal data, you must have a lawful basis to process them, and you remain the controller of that data while we process it on your behalf under the privacy notice. Enterprise engagements can add a formal data processing addendum on request.

05Your content and what the agent produces

Everything you put into a workspace stays yours. We claim no ownership of your messages, your documents, or what the agent produces from them. You grant us only the licence we need to actually run the service — to store your content, to move it between the components that make up Caliban, and to send the relevant part of it to a model provider so the agent can answer you. That licence exists for no other purpose and ends when the content is deleted.

We do not use your workspace content to train models, and the providers we route to are contractually barred from doing so on our traffic.

Output, and the fact that it can be wrong

As between you and us, output is yours to use. But it is generated text, which means it can be confidently, fluently wrong, and two people asking the same question may get different answers. Caliban is a tool that drafts; it is not a professional adviser. Do not rely on its output for legal, financial, medical, or safety-critical decisions without a qualified human checking it. Writes into accounts you have connected are deliberately held for your approval for the same reason, and approving one is your decision.

Output is also not guaranteed to be unique. Another user may receive something substantially similar in response to a similar question, and we make no promise that a given output is original or free of third-party rights.

06Plans, payment, and premium runs

Current plans and prices are on the pricing page, which is the authoritative list; we do not restate the numbers here so that the two can never drift apart. Prices are exclusive of VAT unless stated otherwise, and VAT is added at the rate that applies to you. Subscriptions renew automatically for the same period until you cancel.

Payment is taken by Stripe. If a payment fails we will retry and tell you; if it keeps failing we may suspend the workspace until it is settled, and we will not delete anything without warning you first.

Paid plans include a monthly allowance of premium runs and unlimited use of the standard model. A run is one thing you asked for and everything the agent did to answer it, including any helper agents it spun up on the way. When the premium allowance is spent, work continues on the standard model and the workspace administrator is told; nothing stops. The allowance resets monthly and is not designed to be reset by other means.

We can change prices. Existing subscribers get at least 30 days' notice by email before a change takes effect, and a change never applies to a period you have already paid for. If you do not accept a new price, cancel before it takes effect.

07Trials, cancellation, and refunds

You can cancel a subscription at any time from the workspace's billing settings. Cancel and the plan runs to the end of the period you have paid for, then stops; we do not refund the remainder of a period you chose to leave early, and we do not charge an exit fee. Where a trial is offered it runs for the stated period and, unless you say otherwise, converts into the paid plan at the end of it.

If you are a consumer in the European Union, you have 14 days to withdraw from a distance contract without giving a reason. By starting to use Caliban immediately you are expressly asking us to begin performance during that period and acknowledging that you lose the right of withdrawal once the service has been fully performed — and that if you withdraw part-way through, you owe a proportionate amount for what you used. To withdraw, write to filip@ns2agi.com. These terms do not affect your statutory consumer rights under Belgian and EU law, which we cannot sign away and are not trying to.

Workshops are quoted and booked separately. The quote states the fee, what it covers, and the cancellation terms for that engagement; where the quote and this page disagree about a workshop, the quote wins.

08Availability and support

We aim to keep Caliban up and we watch it, but we do not offer a service level guarantee on the standard plans, and the service is provided as it stands. Maintenance happens, third parties we depend on have outages, and models occasionally degrade. Enterprise agreements can include a defined service level and support response; the standard route is email to filip@ns2agi.com, answered during Belgian business hours.

09Suspension and ending the agreement

You can close your account whenever you like. We can suspend or end access if you breach these terms in a way that matters, if an account is being used to harm other people or the service, or if we are legally required to. Except where the law or an urgent security problem makes it impossible, we will warn you first and give you a chance to put it right.

When an account closes, you get a reasonable window to export your content before it is deleted — at least 30 days unless the closure was for serious abuse. After that, the workspace and the machine holding its drive are destroyed, and we cannot get them back.

10What we promise, and what we do not

To the extent the law permits, Caliban is provided without warranties beyond those that cannot be excluded. We do not promise that the service will be uninterrupted, that it will be free of errors, or that the agent's output will be accurate, complete, or fit for a particular purpose.

Our total liability to you for any claim arising out of this agreement is limited to the amount you paid us in the twelve months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, lost profit, lost data, or lost opportunity. Nothing in this clause limits liability for fraud, for intentional or gross fault, for death or personal injury, or for anything else that Belgian law says may not be limited — including a consumer's rights under the Code of Economic Law.

You are responsible for what you do with the output. If a third party brings a claim against us because of content you put into Caliban or an action you had the agent take, you will cover the reasonable cost of defending it, except to the extent the claim is our fault.

11Changes to these terms

We will update this page as the product and the law move. The date at the top tells you which version you are reading. For a change that materially affects your rights or obligations, we will email account holders at least 30 days before it takes effect; continuing to use Caliban after that date means you accept it, and if you do not, cancel before it lands.

12Law and disputes

This agreement is governed by Belgian law, and disputes go to the courts of Antwerp, Belgium. If you are a consumer, this does not deprive you of the protection of the mandatory rules of the country you live in, and you may bring proceedings in your own courts.

Before litigating, write to us — most things are a misunderstanding that one email fixes. Consumers in Belgium can also take a dispute to the Consumer Mediation Service (Consumentenombudsdienst) in Brussels.

  • If a clause turns out to be unenforceable, the rest stays in force and the clause is read as narrowly as it needs to be to work.
  • You may not transfer this agreement without our consent; we may transfer it to a successor that takes on the whole service, on notice to you.
  • Failing to enforce something once does not waive it for good.
